Terms of Service (AGBs)

1. Scope of Application

These General Terms and Conditions (AGBs) apply to all business relationships between CEGY GROUP LTD ("CEGY", "we", "us") and our clients ("Client", "you"). By engaging our services, you agree to be bound by these terms.

2. Services

CEGY GROUP provides the following services:

• AI-powered automation and process optimization
• Software development and e-commerce solutions
• Digital marketing and campaign management
• International business facilitation and trade connections
• Strategic network access and partnership brokerage

The specific scope of services will be defined in individual service agreements or contracts.

3. Contractual Relationship

A contractual relationship is established upon mutual written agreement (email is sufficient) between CEGY and the Client. All services are provided on a project or retainer basis as specified in the service agreement.

4. Fees and Payment

• Fees are specified in the individual service agreement
• Payment terms: Net 14 days unless otherwise agreed
• All prices are exclusive of applicable taxes (VAT)
• Late payments may incur interest charges of 8% per annum
• Expenses incurred on behalf of the Client will be billed separately with prior approval

5. Client Obligations

The Client agrees to:

• Provide accurate and complete information necessary for service delivery
• Respond to requests for information in a timely manner
• Designate a primary point of contact for communication
• Make timely payments as agreed

6. Confidentiality

Both parties agree to maintain confidentiality of all proprietary information shared during the business relationship. This obligation survives termination of the contractual relationship for a period of 5 years.

7. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in deliverables created specifically for the Client shall transfer to the Client upon full payment. CEGY retains rights to general methodologies, tools, and know-how.

8. Liability

CEGY's liability is limited as follows:

• For intentional misconduct or gross negligence: unlimited liability
• For slight negligence: limited to foreseeable, typical damages
• Maximum liability per claim: the fees paid for the specific service
• No liability for indirect or consequential damages unless caused by gross negligence or intent

9. Term and Termination

Project-based agreements terminate upon completion of the project. Retainer agreements may be terminated by either party with 30 days written notice. Immediate termination is possible for material breach of contract.

10. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, pandemic, or government actions.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus. Any disputes shall be resolved in the competent courts of Limassol, Cyprus.

12. Amendments

CEGY reserves the right to amend these Terms. Clients will be notified of material changes. Continued use of services after notification constitutes acceptance of amended terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
