Terms of Service
§ 1 Scope
These Terms of Service govern all business relationships between CEGY GROUP LTD ("CEGY", "we"), a company registered in the Republic of Cyprus (HE 449627) with its registered office at Makedonias 5, Sunrise Complex, Block 7, 7080 Pyla, Cyprus, and its clients. Our services are directed exclusively at businesses and entrepreneurs, not at consumers.
§ 2 Services
CEGY provides services in the areas of business facilitation and network access, strategic consulting, technology integration and automation, software and e-commerce services, and trade facilitation. The exact scope is defined in individual agreements or order confirmations. CEGY does not provide any financial services requiring a licence; all services are informational or general-advisory in nature and are provided without reference to specific financial instruments.
§ 3 Conclusion of Contract
A contract is concluded upon written order confirmation by CEGY or upon signature of a service agreement. Offers are subject to change and non-binding unless expressly stated otherwise.
§ 4 Fees and Payment
Fees are set out in the respective agreement. Invoices are payable within 14 days without deduction, unless agreed otherwise. In the event of default, default interest of 8 percentage points above the applicable base rate may be charged.
§ 5 Client Obligations
The client shall provide all information, access and materials required for the performance of the services in good time. Delays resulting from a lack of cooperation shall not be attributed to CEGY.
§ 6 Confidentiality
Both parties shall keep confidential information of the other party confidential and use it solely for the purposes of the cooperation; this obligation survives termination.
§ 7 Limitation of Liability
CEGY is liable only for intent and gross negligence; liability for slight negligence is excluded to the extent permitted by law. Total liability is limited to the value of the respective order.
§ 8 Governing Law and Jurisdiction
The laws of the Republic of Cyprus apply. The place of jurisdiction is Larnaca, Cyprus, unless mandatory statutory provisions provide otherwise.
